Terms of Service
1. Acceptance of Terms
By accessing or using the Varsal platform (“Service”), operated by Varsal Pty Ltd (ABN pending) (“Varsal”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you must not access or use the Service.
You must be at least 18 years of age to use the Service. If you are under 18, you may only use the Service with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
If you are using the Service on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, “you” and “your” refer to that entity.
2. Service Description
Varsal is a software-as-a-service (“SaaS”) analytics dashboard designed for founders and teams. The Service aggregates data from third-party services and platforms into a unified, customisable dashboard. Key capabilities include:
- Read-only integrations — Varsal connects to services such as RevenueCat, Stripe, Firebase, Apple App Store Connect, Google Play Console, and others using read-only API access. We never modify, delete, or write data to your connected services.
- Dashboard customisation — You can arrange, configure, and personalise widgets and layouts to suit your workflow.
- Team collaboration — Add team members on a per-seat basis, with shared access to dashboards and data.
The Service is provided “as is” and we may update, modify, or discontinue features at our discretion with reasonable notice to users.
3. Account Registration
To use the Service, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information to keep it accurate and complete.
- Keep your login credentials confidential and not share them with any third party.
- Accept responsibility for all activity that occurs under your account.
- Notify us immediately at legal@varsal.app if you suspect any unauthorised use of your account.
Each individual may only maintain one account. We reserve the right to refuse registration, suspend, or terminate any account at our sole discretion if we believe the information provided is inaccurate, the account is being misused, or the user has violated these Terms.
4. Payments and Billing
Varsal offers the following subscription plans:
- Base seat — AU$29 per month per seat, billed monthly.
- Additional seats — AU$5 per month per additional seat, billed monthly.
All payments are processed securely by Stripe. By subscribing, you authorise Stripe to charge your chosen payment method on a recurring basis at the applicable billing interval. You are responsible for ensuring your payment information is current and valid.
Prices are listed in Australian Dollars (AUD) and are exclusive of applicable taxes. Goods and Services Tax (GST) or other taxes may be added to your invoice depending on your location and applicable tax legislation.
We reserve the right to change our pricing. If we do, we will provide at least 30 days' written notice before the new pricing takes effect. You may cancel your subscription before the new pricing applies if you do not agree to the change.
Refund policy: If you are on an annual plan and cancel within the first 30 days of your billing period, you are entitled to a pro-rated refund for the unused portion of your subscription. Monthly subscriptions are non-refundable; however, you will retain access to the Service until the end of your current billing period after cancellation.
5. Free Trial
Varsal offers a 7-day free trial for new users. A valid payment method is required to start a free trial. During the trial period, you have access to the full functionality of the Service at no cost. You will not be charged until the trial period ends.
At the end of the 7-day trial period, your subscription will automatically begin and your payment method will be charged at the applicable rate unless you cancel before the trial ends. If you cancel during the trial, you will not be charged. If your subscription lapses, your data will be retained for 30 days to allow you to resubscribe and resume where you left off. After 30 days of inactivity following cancellation, your data may be permanently deleted.
We reserve the right to modify, limit, or discontinue the free trial offer at any time without prior notice. Free trials are limited to one per person or organisation.
6. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of the Service.
- Intentionally overload, disrupt, or interfere with the Service's infrastructure, servers, or networks, including through denial-of-service attacks, excessive API calls, or automated scraping.
- Use the Service to harass, abuse, threaten, or harm any individual or entity.
- Share your account credentials with any third party or allow multiple individuals to use a single account (use team member invitations instead).
- Attempt to access, view, or modify data belonging to another user or organisation.
- Use the Service for any purpose that is illegal under the laws of Australia or any applicable jurisdiction, including but not limited to fraud, money laundering, or violation of export controls.
- Reproduce, redistribute, sublicense, or resell the Service or any part of it without our express written permission.
- Upload or transmit any viruses, malware, or other harmful code through the Service.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund.
7. Intellectual Property
The Service, including all software, code, design, text, graphics, logos, icons, and the overall arrangement thereof (“Varsal IP”), is the exclusive property of Varsal Pty Ltd and is protected by Australian and international copyright, trademark, and intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during your active subscription period. This licence does not include the right to modify, copy, distribute, sell, or create derivative works based on any part of the Service.
You retain full ownership of all data, content, and materials that you upload to or generate through the Service (“User Content”). Nothing in these Terms transfers ownership of your User Content to Varsal.
Any feedback, suggestions, or ideas you provide to us about the Service may be used by us without restriction or obligation to compensate you.
8. Data Ownership
You own your data. Varsal does not claim any ownership rights over the data you connect, import, or generate through the Service. Your data remains yours at all times.
By using the Service, you grant Varsal a limited, non-exclusive licence to access, process, aggregate, and display your data solely for the purpose of providing and improving the Service. This licence terminates when your account is closed or your data is deleted.
Upon termination of your account for any reason, your data will remain available for export for a period of 30 days. During this period, you may request a copy of your data by contacting legal@varsal.app. After the 30-day retention period, your data will be permanently deleted from our systems, including all backups, within a reasonable timeframe.

9. Third-Party Integrations
The Service enables you to connect to third-party platforms and services (“Integrations”) to aggregate your data. You acknowledge and agree that:
- Varsal is not responsible for the availability, accuracy, completeness, or reliability of data provided by third-party Integrations. If a third-party service experiences downtime, returns incorrect data, or changes its API, your dashboard may be affected.
- You are solely responsible for complying with the terms of service, acceptable use policies, and licensing agreements of all third-party services you connect to Varsal.
- Third-party services may change their APIs, terms, or pricing at any time. We will use reasonable efforts to maintain compatibility, but we cannot guarantee uninterrupted access to any Integration.
- Your integration credentials are stored securely using AES-256-GCM encryption and are decrypted only server-side when fetching data. We never expose your API keys or tokens to the browser.
- You may revoke any Integration at any time through your account settings. Upon revocation, your stored credentials for that Integration will be permanently deleted.
10. Service Level Agreement
Varsal targets 99.9% uptime for the Service, measured on a monthly basis. This target reflects our commitment to reliability but is not a binding guarantee and does not create any right to compensation or service credits.
The uptime target excludes the following:
- Scheduled maintenance windows, which we will endeavour to announce at least 24 hours in advance.
- Downtime caused by factors outside our reasonable control, including but not limited to internet service provider failures, force majeure events, distributed denial-of-service attacks, and third-party service outages.
- Issues caused by your equipment, software, or network connections.
In the event of significant or prolonged downtime, we will use commercially reasonable efforts to restore the Service and communicate status updates. We are not liable for any damages, losses, or costs arising from Service downtime.
11. Limitation of Liability
To the maximum extent permitted by applicable law, including the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)):
- Varsal, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or loss of goodwill, arising out of or in connection with your use of or inability to use the Service.
- Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the total amount of fees you have paid to Varsal in the 12 months immediately preceding the event giving rise to the claim.
- Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified by agreement.
You acknowledge that the Service aggregates data from third-party sources and that Varsal does not guarantee the accuracy, completeness, or timeliness of any data displayed on your dashboard. You should not rely solely on the Service for making critical business or financial decisions.
12. Indemnification
You agree to indemnify, defend, and hold harmless Varsal Pty Ltd, its directors, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Service or any activity conducted through your account.
- Your violation of these Terms or any applicable law or regulation.
- Your violation of any rights of a third party, including intellectual property rights, privacy rights, or contractual obligations.
- Any data or content you upload, connect, or make available through the Service.
This indemnification obligation survives the termination or expiry of your account and these Terms.
13. Termination
Termination by you: You may cancel your subscription and close your account at any time through your account settings or by contacting legal@varsal.app. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date.
Termination by Varsal: We may suspend or terminate your account immediately, without prior notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, or if required to do so by law. We may also terminate your account with 30 days' notice for any reason, including discontinuation of the Service.
Effect of termination: Upon termination:
- Your access to the Service will be revoked immediately (or at the end of the billing period, in the case of voluntary cancellation).
- Your data will remain stored and available for export for 30 days following termination.
- After the 30-day retention period, all your data, including integration credentials, dashboard configurations, and account information, will be permanently deleted.
- Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) will remain in effect.
14. Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Queensland, Australia, without regard to its conflict of law principles. The courts of Queensland, Australia shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Service.
Before initiating any formal legal proceedings, both parties agree to engage in good faith negotiation for a period of at least 30 days. You must send a written notice of your dispute to legal@varsal.app describing the nature of the dispute and the relief you seek. Varsal will respond within 14 business days.
If the dispute cannot be resolved through negotiation, either party may pursue resolution through the courts of Queensland, Australia. Nothing in this section prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction.
15. Changes to Terms
We reserve the right to modify or update these Terms at any time. When we make changes, we will update the “Last updated” date at the top of this page.
For material changes that affect your rights or obligations — including changes to pricing, data handling, or liability provisions — we will provide at least 30 days' advance notice via email to the address associated with your account or through a prominent notice within the Service.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the changes take effect.
16. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed from these Terms and the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Varsal Pty Ltd with respect to the Service and supersede all prior or contemporaneous written or oral agreements, representations, warranties, and understandings.
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
